GENERAL TERMS AND CONDITIONS OF SALE – InfraXport

 

Article 1 – Purpose

These Terms and Conditions govern the contractual relationship between:

(hereinafter the “Seller”),

And any legal entity or individual acting for professional purposes (hereinafter the “Buyer”).

Any order implies full and unconditional acceptance of these Terms.

Article 2 – Products

Products offered are those listed on www.InfraXport.fr, subject to availability.

Descriptions and specifications are indicative and may be modified without prior notice.

Sales are strictly B2B.

Article 3 – Prices

Prices are expressed in euros (€), excluding taxes.

Under Article 293B of the French Tax Code, VAT is not applicable unless otherwise stated.

Shipping, insurance, customs duties, and logistics costs are borne by the Buyer unless agreed otherwise.

Prices may be updated at any time; the applicable price is the one confirmed at order validation.

Article 4 – Orders and Payment

Orders become binding upon written confirmation (email or signed quotation).

Payment is made via bank transfer or any agreed method.

Unless otherwise specified, invoices are payable upon receipt.

Late payment will result in: Interest penalties at the applicable legal rate, A fixed compensation of €40 for recovery costs

Article 5 – Delivery and Incoterms

Deliveries are governed by Incoterms® 2020 (EXW, FOB, CIF unless otherwise agreed).

Risk transfers according to the selected Incoterm.

The Buyer is responsible for import procedures, duties, and taxes unless agreed otherwise.

Delivery times are indicative only and do not constitute a binding commitment.

Article 6 – Retention of Title

Ownership of goods remains with the Seller until full payment has been received.

Article 7 – Withdrawal Rights

No withdrawal rights apply to B2B transactions unless expressly agreed.

Article 8 – Inspection and Claims

The Buyer must inspect goods upon delivery.

Any claim must be submitted in writing within 3 days of receipt.

Failing this, goods will be deemed accepted.

Article 9 – Warranty

Products benefit from applicable legal warranties.

Any defect or non-conformity must be reported promptly.

Article 10 – Liability

The Seller is bound by a best-efforts obligation.

The Seller shall not be liable for: Force majeure events, Transport or customs delays, Improper use of products

In any case, liability is limited to the value of the concerned order.

Article 11 – Intellectual Property

All website content is the exclusive property of InfraXport.

Any unauthorized use or reproduction is strictly prohibited.

Article 12 – Personal Data

Data collected is used solely for business purposes.

In accordance with GDPR, the Buyer has the right to access, rectify, and delete personal data.

Article 13 – Governing Law and Jurisdiction

These Terms are governed by French law.

Any dispute shall fall under the jurisdiction of the courts of Paris.
